Terms of Use Agreement

Effective: May 1, 2025

Welcome to the website of Source Correct LLC ("Source Correct," "we," "our," or "us"). Source Correct LLC owns a proprietary web-based software application that streamlines product sourcing, purchasing, receiving, preparation, and shipment workflows for Amazon 3rd-party sellers (the "Application"). The website and Application are collectively referred to as the "Services."

By accessing or using the Services, you ("User," "you," or "your") agree to comply with and be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not access or use our Services.

NOTE: BY AGREEING TO THESE TERMS, YOU ACKNOWLEDGE THAT YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT.

1. Eligibility

Use of the Services is only available to users who are at least 18 years of age. By using the Services, you confirm you are of legal age to form a binding contract.

2. Restrictions

You agree not to, and will not permit others to, access or use the Service except as expressly permitted by these Terms. Without limiting the generality of the foregoing, you shall not (and shall not allow any third party to):

  • Copy, modify, or create derivative works of the Service or any related content, code, or technology;
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or trade secrets underlying the Service;
  • Use the Service for any benchmarking, competitive analysis, or to build a competing product or service that is similar to or in any way derived from Source Correct;
  • Access or use the Service if you are a direct competitor of Source Correct, or on behalf of a competitor, without our prior express written consent;
  • Scrape, extract, download, or index any portion of the Service (manually or through automated means) for competitive purposes;
  • Sell, resell, sublicense, rent, lease, or otherwise distribute access to the Service or its content to any third party without our prior written authorization;
  • Interfere with or circumvent any security features or access controls of the Service;
  • Attempt to gain unauthorized access to any portion of the Service, its systems, or networks;
  • Use the Service in any unlawful or prohibited manner, or in violation of any applicable law or regulation.

Source Correct reserves the right to monitor user behavior and usage patterns within the Service to detect activities inconsistent with these Terms, including attempts at competitive intelligence gathering, unauthorized duplication of workflows, or reverse engineering.


Violation of this section may result in immediate suspension or termination of access, and may subject the violator to injunctive relief, liquidated damages, and other legal remedies.

  • Copy, distribute, sell, or lease any part of the Services
  • Reverse engineer or extract source code
  • Use automated tools (e.g., bots, scrapers) without permission
  • Post illegal, harmful, or offensive content;
  • Infringe intellectual property or privacy rights.

3. Payments and Subscriptions

Access to fee-based Services requires execution of our Subscription Agreement and payment. Payments are processed via a third-party provider. By subscribing, you authorize us to charge your payment method on a recurring basis unless canceled according to the terms.

4. Communications Consent

By using the Services, you agree to receive communications via email, text, push notifications, and other electronic means. Message and data rates may apply. To unsubscribe from SMS, reply "STOP."

5. Mobile Devices

You are responsible for your device, data plan, and any associated charges. Use of the Services via mobile device is governed by these Terms.

6. User Content and Conduct

You retain ownership of content you submit, but grant Source Correct a worldwide, non-exclusive, royalty-free license to use and display it in connection with the Services.

You agree not to post unlawful, discriminatory, or infringing content. You must not share sensitive personal information (e.g., SSNs, passport numbers).

Feedback provided to Source Correct may be used without compensation. However, Source Correct does not claim ownership of your ideas and will not use them confidentially unless otherwise agreed.

7. Content Moderation and Takedowns

We reserve the right to remove content that violates our policies. If you believe content infringes your rights, send a DMCA-compliant notice to legal@sourcecorrect.com. We process takedown requests within 10 business days.

8. Privacy and Data Use

Use of the Services is subject to our Privacy Policy. You consent to our collection and use of data as described therein, including data shared with service providers to perform core functions.

We may aggregate and anonymize data to improve our Services and may share such insights with partners under strict confidentiality.

Data Processing Addendum: To the extent required by law, Users and Source Correct may execute a DPA outlining obligations under GDPR, CCPA, or similar legislation.

9. Third-Party Services

Source Correct is not responsible for third-party services, content, or linked websites. Use them at your own risk.

9a. Confidentiality

You acknowledge that during your use of the Service, you may have access to information that is proprietary and confidential to Source Correct, including but not limited to business processes, system architecture, workflow logic, trade secrets, algorithms, internal documentation, pricing models, and unreleased features (“Confidential Information”). You agree not to disclose, reproduce, distribute, or use any Confidential Information for any purpose outside of the scope of your authorized use of the Service.

You further agree not to share access to the Service with any third party and not to assist or allow any third party—including but not limited to competitors or developers building similar platforms—to gain access to or replicate Source Correct’s Confidential Information or functionality.

This obligation will survive termination of your use of the Service.

10. Intellectual Property

All rights, title, and interest in and to the Service, including without limitation all software, content, features, databases, visual design, trademarks, logos, workflow logic, and any improvements or derivatives thereof, are and will remain the exclusive property of Source Correct and its licensors.

Nothing in these Terms grants you any license or right to use any Source Correct intellectual property except as strictly necessary to access the Service under a valid subscription.

Any unauthorized use, reverse engineering, duplication, or reproduction of the Service’s functionality, structure, or design—including violations of Sections 2 (Restrictions) or 9a (Confidentiality)—will be considered a material breach of these Terms and may result in immediate termination and legal action, including pursuit of injunctive relief and monetary damages.

11. Disclaimers

The Services are provided "as is" without warranties. We do not guarantee error-free operation or uninterrupted availability. We are not responsible for content posted by users or third parties.

12. Limitation of Liability

To the fullest extent permitted by law, Source Correct LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services.

In no event shall Source Correct’s total liability exceed the amount you have paid to us for the Service in the twelve (12) months prior to the event giving rise to the claim.

However, this limitation shall not apply to violations of Section 2 (Restrictions), Section 9a (Confidentiality), or Section 10 (Intellectual Property), where Source Correct reserves the right to pursue additional legal remedies, including injunctive relief and recovery of actual damages.

If you are a New Jersey resident, some limitations may not apply as per NJ law.

13. Indemnification

You agree to indemnify Source Correct against claims arising from your use of the Services, including any breach of these Terms, infringement, or illegal activities.

14. Arbitration and Governing Law

All disputes must be resolved via binding arbitration in Morris County, NJ under AAA Consumer Rules. No class actions are permitted.

Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights, confidential information, or proprietary interests under Sections 2, 9a, and 10 of these Terms.

If arbitration is unenforceable, you consent to the exclusive jurisdiction of New Jersey state courts.

15. Modifications

We may update these Terms at any time. Continued use of the Services after changes constitutes acceptance. We will notify users of material changes where required by law.

16. Miscellaneous

These Terms constitute the full agreement between you and Source Correct. If any provision is deemed unenforceable, the rest remain in effect. These Terms do not create a partnership, joint venture, or agency.
